Seminar outline

In the first part of this seminar, founding partner Kenji Kuroda provides an examination of methods of reorganization, including merger, equity transfer, and liquidation and dissolution. He outlines and compares the legal and practical aspects of each method, and gives valuable advice on preparations, points to consider, procedures, workflow and potential pitfalls, using case examples to illustrate major points.

The second part of the seminar looks at labor issues when reorganizing, dealing with both maintaining existing contracts (temporary leave) and cancelling or terminating existing contracts. Mr. Kuroda provides information on such topics as procedures and pay standards for temporary leave, and basic principles and potential procedural problems when reducing staff levels or restructuring. Finally, participants will also benefit from valuable insight into the best timing for reorganization and PR strategies.
